Bharti Airtel Secures 79% Control Of African Unit In $2.9 Billion Share Swap

LAGOS – Bharti Airtel Limited has finalized a massive cashless share-swap transaction to acquire a 16.35% stake in Airtel Africa plc from Indian Continent Investment Limited, elevating its total ownership to approximately 79%.

The telecom giant executed the transaction on June 22, 2026, by taking over 595.2 million ordinary shares of its Africa-focused subsidiary from the promoter group entity.

Bharti Airtel issued 146.8 million new equity shares on a preferential basis to Indian Continent Investment Limited as consideration, avoiding any incremental leverage or direct cash outflow.

The transaction directly aligns with Bharti Airtel’s long-term strategy to consolidate ownership in high-growth subsidiaries while optimizing its capital structure amid growing competition in the emerging telecom markets.

“The transaction presents an opportunity to the company to acquire a large block and increase its economic interest in a high-growth asset without any incremental leverage,” Bharti Airtel stated.

Recent financial data underscores Africa’s value, as Airtel Africa reported a 29.5% revenue jump to $6.4 billion and a two-fold profit surge to $813 million for fiscal year 2026.
